Annual Compliance

We support clients in more than 15 jurisdictions. The annual compliance service includes all those routine matters that a company would expect to occur each year in order to keep it in good standing, such as:

  • maintaining the company's commercial records
  • preparing and filing of returns with the local registry
  • issuing reminders of accounting deadlines
  • providing the company's auditors with access to the company records.

All jurisdictions have local variations in their requirements and we are able to offer a fixed fee charge for our annual compliance service, wherever in the world your entity is registered.

Corporate Governance

We can help improve corporate governance in your organisation with any of the following services: -

  • Carry out a comprehensive audit of your organisation’s corporate governance arrangements. It immediately highlights any potential compliance issues and problems with the company records. Corporate health checks are a robust tool for ensuring that your companies comply with any local corporate secretarial regulations..
  • Review governance compliance against a particular code of governance or listing rules.
  • Draft various governance policies- such as anti- bribery policies, gifts and hospitality policies, Committee Terms of Reference.
  • Assist with Director’s induction and development programmes - including compiling Board handbooks 
  • We can also review Articles of Association to comply with the Companies Acy 2006 and update Rules for Industrial and Provident
  • Board meetings - assisting with developing forward plans, drafting meeting agendas, collating board reports and attending meetings to take professional detailed minutes. Draft minutes are provided within 3 working days of the meeting.
  • General Meetings - assisting with or convening general meetings, drfating notices of meetings, proxy forms and any associated documents; we can also draft the Chairman’s script and take minutes of the meeting.
